Terms of Service

Agreement to Terms
By accessing or using the Archie website at witharchie.co, or by engaging our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our website or services.
Archie is a marketing agency operated by Gini Zhang, based in Ontario, Canada. These terms constitute a legally binding agreement between you and Archie.
Services
Archie provides marketing services to health practitioners and service-based businesses, including but not limited to:
- Website design and development
- Search engine optimization (SEO)
- Google Ads and Meta Ads management
- Social media content and management
- Content marketing and blog writing
- Brand identity and design
- Google Business Profile optimization
- Analytics setup and reporting
Specific deliverables, timelines, and scope of work are defined in individual service agreements between Archie and each client.
Intellectual Property
Client-owned deliverables:
Upon full payment, clients own all deliverables created specifically for them, including website code, design files, written content, brand assets, and marketing materials. You are free to use, modify, and distribute these deliverables without restriction.
Archie-owned property:
Archie retains ownership of internal tools, templates, frameworks, processes, and methodologies used in the delivery of services. These are not transferred to clients. The Archie brand, logo, and website content remain the exclusive property of Archie.
Portfolio rights:
Archie reserves the right to display completed client work in our portfolio and case studies for marketing purposes, unless you explicitly request otherwise in writing.
Payment Terms
- Onboarding fee: A one-time setup fee is due before work begins. The amount varies by package tier (Starter, Growth, or Scale).
- Monthly retainer: Ongoing services are billed monthly. Payment is due within 7 days of invoice date.
- Late payments: Invoices unpaid after 14 days may result in suspension of services until the balance is resolved. No late fees are charged.
- Accepted methods: Payment is accepted via bank transfer, credit card, or other methods agreed upon in your service agreement.
- Taxes: All prices are listed in Canadian dollars (CAD). Applicable taxes (HST) are added to invoices where required by law.
Cancellation Policy
Archie operates on a month-to-month basis. There are no long-term contracts or lock-in periods.
- You may cancel your retainer at any time by providing 30 days' written notice via email to hello@witharchie.co.
- The one-time onboarding fee is non-refundable once work has commenced.
- Upon cancellation, you retain full ownership of all deliverables created for you up to that point.
- We will provide reasonable assistance in transitioning your website and assets to another provider or your own hosting, at no additional charge.
Client Responsibilities
To deliver our services effectively, clients are expected to:
- Provide timely feedback and approvals (within 5 business days unless otherwise agreed)
- Supply accurate business information, credentials, and brand assets as needed
- Ensure that content and materials provided to us do not infringe on third-party intellectual property rights
- Maintain compliance with their professional regulatory body's advertising standards
- Pay invoices on time per the agreed schedule
Delays in providing required information or feedback may extend project timelines accordingly.
Regulatory Compliance
Archie builds all marketing materials in accordance with applicable healthcare advertising regulations, including CMTO, CCO, and CPO guidelines. However, ultimate responsibility for regulatory compliance rests with the practitioner.
We will flag potential compliance issues and provide guidance, but we do not provide legal advice. Clients should consult their regulatory body or a legal professional for definitive compliance rulings.
Limitation of Liability
To the maximum extent permitted by law:
- Archie's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of business, or loss of data.
- We do not guarantee specific results from our marketing services, including search engine rankings, website traffic, or patient bookings. Marketing outcomes depend on many factors beyond our control.
- We are not liable for any downtime, data loss, or service interruptions caused by third-party platforms (Vercel, Google, Meta, Cal.com, etc.).
Indemnification
You agree to indemnify and hold harmless Archie, its operator, and its contractors from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.
Website Use
When using the Archie website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to interfere with the website's operation or security
- Scrape, copy, or reproduce website content without written permission
- Submit false or misleading information through any forms
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes take effect immediately upon posting to this page. For active clients, material changes will be communicated via email at least 14 days before they take effect.
