These terms describe, at a high level, how Archie Studio (“Archie”, “we”, “us”) works with clients. They apply to enquiries made through this site and provide context for any project we take on. The specific, binding terms of a project are set out in the written proposal, quote, or agreement we sign with you, which governs if anything here conflicts with it.
Scope of services
Archie is an independent design and web studio. We provide brand identity, design systems, website design and build, and optional ongoing maintenance and SEO. The exact deliverables, timeline, and inclusions for any engagement are defined in the proposal for that project. Work outside the agreed scope is quoted separately before it begins.
Fixed-price quotes
We work to a fixed price agreed before a project starts. The quote is based on the scope described in the proposal. If the scope changes at your request, we will provide a revised quote for the additional work, and that work will not proceed until you approve it. Third-party costs that are billed separately, such as domains, email forwarding, photography, and tools, are identified in the proposal.
Project and payment terms
Projects typically begin with a deposit, with the balance due at defined milestones and on completion, as set out in the proposal. Timelines depend on timely feedback, content, and approvals from you. We will be clear about what we need and when. Specific invoicing, deposit, and milestone terms are stated in the signed proposal for each project.
Intellectual property
Ownership of the final deliverables created specifically for your project, including brand assets and the production codebase, transfers to you upon receipt of final payment in full. Until final payment, we retain ownership of work in progress. We may retain pre-existing tools, libraries, and general know-how, and we may display the completed work in our portfolio unless we agree otherwise in writing. Third-party assets and licensed software remain subject to their own licence terms.
The optional $199/mo plan
After launch, we offer a single bundled maintenance and SEO plan at $199 per month. The first month is included free with every project. The plan is bundled and offered as a whole, not split into separate services. There is no contract and no minimum term: you may cancel at any time, effective at the end of the current paid month. The plan is entirely optional, and declining or cancelling it does not affect your ownership of the delivered project.
No guarantee of rankings or results
We apply current best practices in design, performance, accessibility, and search engine optimization. We do not and cannot guarantee specific search rankings, traffic levels, leads, revenue, or other business outcomes, all of which depend on factors outside our control, including search engine algorithms and your market.
Governing law
These terms and any project agreement are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.
